Services Description

Cogniva provides AI consulting and development services, including:

  • AI Strategy and Digital Transformation consulting
  • Proof of Concept development and validation
  • Minimum Viable Product (MVP) development
  • AI/ML Technical Vetting and Talent services
  • AI Engineering Bootcamp and training programs

All services are provided on a project basis under separate statements of work or service agreements that incorporate these terms by reference.

Client Responsibilities

When engaging with our services, clients agree to:

  • Provide accurate and complete information about project requirements
  • Grant necessary access to data, systems, and personnel as required
  • Ensure compliance with all applicable laws and regulations
  • Maintain confidentiality of proprietary methodologies and approaches
  • Provide timely feedback and approvals as outlined in project agreements
  • Make timely payments according to agreed-upon terms

Intellectual Property

Cogniva's Intellectual Property

All proprietary methodologies, frameworks, tools, and general knowledge developed by Cogniva remain our intellectual property. This includes our AI development approaches, training materials, and assessment frameworks.

Client's Intellectual Property

Clients retain ownership of their data, business processes, and domain-specific knowledge. Custom solutions developed specifically for clients become client property upon full payment, as specified in individual project agreements.

Joint Development

Any intellectual property jointly developed during projects will be governed by specific terms outlined in individual service agreements.

Confidentiality

We understand the sensitive nature of business information and maintain strict confidentiality:

  • All client information is treated as confidential and proprietary
  • Non-disclosure agreements (NDAs) are standard for all engagements
  • Access to client data is limited to essential team members only
  • Data security measures meet enterprise-grade standards
  • Client information is never shared with third parties without explicit consent

Limitations of Liability

While we strive for excellence in all our services, the following limitations apply:

  • Our liability is limited to the fees paid for the specific service in question
  • We are not liable for indirect, consequential, or punitive damages
  • AI solutions are provided based on current technology and best practices
  • Performance metrics are estimates based on historical data and may vary
  • Clients are responsible for compliance with their industry regulations

These limitations do not apply to cases of gross negligence or willful misconduct.

Payment Terms

Payment terms are established in individual service agreements and typically include:

  • Payment schedules tied to project milestones
  • Net 30 payment terms unless otherwise specified
  • Late payment fees may apply for overdue invoices
  • All fees are exclusive of applicable taxes
  • Refunds are governed by specific project agreement terms

Termination

Either party may terminate services under the following conditions:

  • Completion of all deliverables as specified in the service agreement
  • Mutual agreement between both parties
  • Material breach of terms with 30 days written notice to cure
  • Failure to make payment after 60 days from invoice date

Upon termination, both parties will return or destroy confidential information as outlined in the applicable agreements.

Governing Law

These Terms of Service are governed by and construed in accordance with applicable international business law and the laws of the jurisdictions where services are performed.

Any disputes arising from these terms or our services will be resolved through good faith negotiation, and if necessary, through binding arbitration or appropriate legal proceedings in the agreed jurisdiction.

Changes to Terms

We reserve the right to update these Terms of Service to reflect changes in our practices, legal requirements, or business operations.

Material changes will be communicated to active clients via email or through our website. Continued use of our services after such changes constitutes acceptance of the updated terms.
